New Joint and Several Liability (JSL) legislation
From 6 April 2026, HMRC is introducing new Joint and Several Liability (JSL) legislation, making recruitment agencies and end-clients liable for unpaid PAYE and National Insurance (NICs) from non-compliant umbrella companies. This applies to labour supply chains, allowing HMRC to recover tax debts from parties above the umbrella.
Key Aspects of the April 2026 Rules:
- Liability Scope: If an umbrella company fails to pay tax, HMRC can pursue the next party in the chain (recruitment agency or end-client) for the full amount.
- Strict Liability: The rules apply even if the agency/end-client did not know about the tax avoidance or error.
- Targeted Practices: The legislation targets tax non-compliance in the umbrella market, including mini-umbrella companies, loan schemes, and improper expense payments.
- Action Required: Agencies and clients must perform robust, real-time due diligence on their supply chains to ensure PAYE/NICs are paid.
This move is intended to stop tax losses, prevent fraud, and ensure a level playing field in the contingent labour market.
